GENERAL TERMS AND CONDITIONS OF SALE

Preamble

These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between GVBSC (Les Grands Vignobles du Bordelais Sidney Choukroun), hereinafter referred to as "the Seller", and any natural or legal person, hereinafter referred to as "the Customer", making a purchase on the website or by direct order.

ARTICLE 1: PROTECTION OF MINORS AND VERIFICATION

• 1.1 Minors: In accordance with article L. 3342-1 of the French Public Health Code, the sale of alcohol to minors is prohibited. The Customer certifies being at least eighteen (18) years old at the time of order.
• 1.2 Fraud prevention: GVBSC reserves the right to request proof of identity or address from the Customer before validating the order. In case of non-presentation or doubt about the validity of the documents, the order may be cancelled.

ARTICLE 2: ORDER PROCESS AND MANUAL VALIDATION

The ordering system is based on a human validation protocol:

1. Cart and Quote: The Customer chooses wines, enters details and shipping method. At this stage, the order is "pending validation".
2. Team validation: Each order is manually verified. The Seller reserves the right to refuse an order (out of stock, prior dispute, etc.).
3. Pro Forma Invoice: Upon acceptance, the Customer receives by email a pro forma invoice including: wine prices, transport costs (after actual quote), mandatory insurance and any logistics fees.
4. Final Confirmation: The order is definitively validated and confirmed only after receipt of full payment by our accounting department.

ARTICLE 3: PRICES AND ANCILLARY COSTS

• 3.1 Mandatory Insurance: Any shipment includes mandatory insurance worth 1% of the total wine value, payable by the Customer.
• 3.2 Shipping Fees: No shipping fees are offered, regardless of the order amount.
• 3.3 Photos: Photographs illustrating the products are provided for guidance only and are not part of the contractual scope.

ARTICLE 4: PAYMENT TERMS

Payment is made by bank transfer or via the secure payment link provided by our services.

• Exclusions: Checks and split payments (such as ALMA) are not accepted. Bank cards issued outside the European Union are not accepted online: orders billed outside the EU are payable by bank transfer only. By prior agreement with GVBSC, a card payment may exceptionally be authorised, in which case bank fees of 2% are mandatorily applied.
• Non-EU bank fees: For any order billed outside the European Union and paid by credit card, a 2% surcharge is applied to cover international banking fees.
• Late payments (B2B): Any late payment by a professional results in the application of penalties (ECB rate + 10 points) and a fixed indemnity of €40.

ARTICLE 5: RETENTION OF TITLE

GVBSC retains full ownership of the products until full payment of the price, fees, taxes and insurance.

ARTICLE 6: DELIVERY AND SHIPMENT

• 6.1 Carriers: Deliveries are made by FedEx, DHL or Chronopost.
• 6.2 Times and Availability: Preparation and shipping times vary depending on references and can range from a few days to several weeks.

  The Customer is informed of these specific times directly on the catalogue page of each product.

  Once the order is shipped, the usual transport times apply (24/48h for France, 5 to 10 days for International).

• 6.3 Limitation of Liability on Delays: The times indicated on product sheets are average estimated times. As a result, GVBSC cannot under any circumstances be held responsible for any extension of delays, delay in delivery or the direct or indirect consequences that could result (loss of business, etc.). No delivery delay may give rise to damages, retention, or cancellation of an order by the Customer once it has been validated by us.
• 6.4 Digital Tracking: No paper delivery notice is left. The Customer is responsible for tracking their parcel via the digital link sent by email on the day of shipment.
• 6.5 Address Error: If the delivery address provided is incorrect or incomplete, GVBSC reserves the right to charge processing fees and not to bear the cost of re-shipping.
• 6.6 Hazards and Force Majeure: GVBSC reserves the right to postpone shipment in case of extreme weather conditions (frost or extreme heat). Its responsibility cannot be engaged in case of force majeure (strikes, transport blockages, pandemic, etc.).

ARTICLE 7: RIGHT OF WITHDRAWAL

• 7.1 Individuals (B2C): You have a period of 14 clear days to exercise your right of withdrawal without reason. Return costs are at your expense. Reimbursement will be made within 14 days after receipt and verification of the condition of the goods.
• 7.2 Professionals (B2B): The right of withdrawal does not apply to contracts concluded between professionals. Any order is firm and final.

ARTICLE 8: CLAIMS AND WARRANTIES

• 8.1 Receipt of parcels: The Customer must check the condition of the parcel in front of the delivery person. It is imperative to issue precise handwritten reservations on the transport slip in case of breakage. The mention "subject to unpacking" is not admissible.
• 8.2 Non-receipt: In case of dispute, a sworn statement of non-receipt will be required. The carrier has 30 working days to respond to the official enquiry.
• 8.3 Defective product: Any request must be made within 14 days of receipt, accompanied by photos illustrating the problem.
• 8.4 Cork taint: GVBSC does not provide any replacement or refund for bottles presenting cork taint.

ARTICLE 9: EXPORT AND TAXATION

• 9.1 Incoterm: For sales outside France, goods are sold EXW (Ex Works), unless otherwise agreed. The transfer of risks to the Customer occurs upon delivery to the carrier.
• 9.2 Customs: The Customer is the importer. Customs duties and local taxes are at their exclusive expense.
• 9.3 Pro VAT: European B2B customers must provide a valid intra-community VAT number (VIES).

ARTICLE 10: DISPUTES AND JURISDICTION

• 10.1 Mediation: In case of dispute, the individual Customer may use a consumer mediator.
• 10.2 Jurisdiction: For any dispute relating to an order, exclusive jurisdiction is attributed to the Commercial Court of Libourne.
